Members
Section Usage Agreement
By
completing your registration to participate in the SIR Members Section,
you (the "Member") agree with the Society of Insurance Research
(hereinafter referred to as "SIR") to be bound by the terms and
conditions set forth
in this Agreement. Read this Agreement carefully. You will be bound by
its
terms whenever you use the SIR Members Section.
1.
License
SIR grants, and
the Member hereby accepts, a nonexclusive, nontransferable, revocable
license to use the software, data, and documentation contained in SIR
Members Section on the terms and conditions set out in this Agreement.
2.
Termination
SIR may at its
sole discretion terminate this license at any time, with or without
prior notification, in the event the Member fails to comply with the
terms and conditions of this Agreement, by de-activating the User's
username and password or suspending operation of the system.
3.
Changes to This Agreement
SIR reserves
the right to change the terms of this Agreement or to modify any
features
of this service at any time. By continuing to use this service after
posting of notices regarding such changes, the Member agrees to be
bound by such
changes.
4.
Copyright and Restrictions
All data on
file in the SIR Members Section, and all documentation and software
therein,
is the property of the Society of Insurance Research or its Licensors
("Licensors"), and is protected by copyright and other intellectual
property laws. Information received through SIR Members Section is to
be used solely for individual personal or business purposes. None of
the content of SIR Members Section may be reproduced, transcribed,
stored in a retrieval system, translated into any language or computer
language, retransmitted in any form or by any
means (electronic, mechanical, photocopied, recorded, or otherwise),
resold,
or redistributed without the prior written consent of SIR, except that
the
Member may reproduce limited excerpts of the data for individual
personal
or business use only.
For
information obtained from Licensors the Member is solely responsible
for compliance
with any copyright restrictions and is referred to the publication data
appearing in bibliographic citations, as well as to the copyright
notices
appearing in the original publications.
5.
Protection and Security
The Member
shall take all reasonable steps to ensure that no unauthorized person
shall have access to SIR Members Section. The Member shall not divulge
sub-license,
assign or transfer to any third party the Member name and password
established during registration. The Member understands that provision
of the Member name
and password will be required prior to each use of SIR Members Section.
6.
Warranty Disclaimer
Information on
SIR Members Section is generated not only through internal resources of
SIR, but also through external consultants and third party sources.
Inherent
hazards of electronic distribution may result in delays, omissions or
inaccuracies in such information and SIR Members Section. The opinions
expressed on
SIR Members Section are those of the individual authors and
contributors
and not necessarily those of SIR.
ALL
DATA, SOFTWARE, AND DOCUMENTATION IN SIRNET ARE PROVIDED "AS IS"
WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED. SIR AND ITS
AFFILIATES, AGENTS AND LICENSORS CANNOT AND DO NOT WARRANT THE
ACCURACY, COMPLETENESS, CURRENTNESS, NONINFRINGEMENT, MERCHANTABILITY
OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO SIRNET, OR THE USE
THEREOF. NEITHER SIR NOR ITS LICENSORS SHALL BE LIABLE UNDER ANY CLAIM,
DEMAND, OR ACTION ARISING OUT OF, OR RELATING TO, THE PERFORMANCE OF
SIRNET OR THE LACK THEREOF OR ANY DELAY IN ACCESS
TO IT UNDER THIS AGREEMENT FOR DIRECT, SPECIAL, INCIDENTAL, OR
CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS
OR OTHER DAMAGES
CAUSED BY THE INABILITY TO USE SIRNET, WHETHER OR NOT SIR OR ITS
LICENSORS
HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIM, DEMAND, OR ACTION.
NEITHER SIR NOR ITS LICENSORS MAKES ANY WARRANTY THAT SIRNET IS
COMPATIBLE OR OPERABLE WITH THE USER'S COMPUTER EQUIPMENT OR SOFTWARE,
OR THAT SIRNET WILL PERFORM WITHOUT INTERRUPTION OR FREE OF ERRORS.
No
representative of any party involved in the distribution of SIR Members
Section is authorized to make any warranties with respect to the
service beyond those contained in this Agreement. Oral statements do
not constitute warranties, shall not be relied upon by the Member, and
are not a part of this Agreement.
7. Fees
and Payments
SIR Members
Section is currently free to all members. SIR reserves the right to
charge for
SIR Members Section in the future; however, in such event, SIR will
notify
the Member in advance and give the Member an opportunity to subscribe
to
this service.
8. SIR
Members
Section
SIR Members
Section is provided solely for educational and informational purposes.
SIR Members
Section does not verify the credentials of individuals, nor do the
views
expressed by SIR Members Section members necessarily reflect the views
of their organizations or of SIR.
The
Member is entirely liable for all activities conducted through any
names registered to your e-mail address ("Account"). The following
Rules apply while using any SIR Members Section:
A. The
Member may post messages to SIR Members Section containing only content
(including but not limited to text, content, photos, video, animation,
graphics, audio or software) ("Content") that does not contain
scandalous, libelous, defamatory, false, obscene, indecent, lewd,
pornographic, excessively violent, abusive, threatening, harassing,
disruptive or unlawful matter, is not subject to any patent, trademark,
copyright or other proprietary or privacy rights
of a third party ("Rights"), or Content in which any holder of Rights
has
given the Member express authorization for distribution on an SIRNet
Section.
By submitting Content to any part of any SIR Members Section, the
Member
automatically grants or warrants that the owner of such Content has
expressly
granted SIR Members Section a royalty-free, perpetual, irrevocable,
worldwide,
non-exclusive right and license to use, reproduce, modify, adapt,
publish,
translate, create derivative works from, distribute, perform, transmit
and
display such Content (in whole or part) and/or to incorporate it in
other
works in any form, media, or technology now known or later developed
for
the full term of any Rights that may exist in such Content.
B. The
Member must evaluate and bear the risk associated with the accuracy,
completeness, or usefulness of any Content. The Member agrees that the
Member will indemnify and hold harmless SIR from any and all liability
resulting from the submission, publication, distribution and
redistribution of any such Content.
C. In
cases where the Member has allowed any other individual to use the
Member's Account, or has negligently made the Member's password
publicly available, the Member recognizes that the Member is fully
responsible for: (i) the online conduct of such Member; (ii)
controlling the user's access to and use of SIR Members
Section; and (iii) the consequences of any misuse. The Member further
recognizes that the Member, as the holder of the Account, is entirely
responsible
for activities conducted through such Account.
D. The
Member agrees and understands that SIR reserves the right to reject,
modify, edit and/or alter any submission to any SIR Members Section
before or after
its publication within an SIR Members Section without gaining agreement
from the Member and/or the provision of notice or reason.
9.
General
If any
provision of this Agreement is determined to be invalid under any
statute or rule
of law, the same shall be deemed omitted and the remaining provisions
shall continue in full force and effect.
This
Agreement shall be deemed to be made in the United States and shall in
all respects be interpreted, construed, and governed by and in
accordance with the laws of the United States applicable to contracts
executed and to be wholly
performed therein.
This
Agreement constitutes the entire agreement between the parties with
respect to the subject matter hereof and supersedes all prior
agreements, oral or written, and all other communications relating to
the subject matter hereof. No amendment or modification of any
provision of this Agreement will be effective unless set forth in a
document that purports to amend this Agreement and both parties accept
that hereto.
This
Agreement is personal to you and you may not assign your rights or
obligations to
anyone.
